Term and Condition

INTRODUCTION AND ACKNOWLEDGMENTS

  1. Welcome to Mayapos. These Terms and Conditions ("Agreement") constitute a valid and binding legal contract between you ("User") and PT DAWN DIGITAL LABS ("Company," "We"). By downloading, installing, accessing, or using the Mayapos web platform and mobile application ("Service"), you acknowledge that you have read, understood, and agree to be bound by all the terms of this Agreement.

  2. You and the Company acknowledge that this Agreement is entered into solely between you and PT DAWN DIGITAL LABS. PT DAWN DIGITAL LABS is solely responsible for the Services and the content therein.

DEFINITIONS AND INTERPRETATIONS

  1. Mayapos is a Software-as-a-Service (SaaS)-based Electronic Point of Sale (EPOS) software developed and managed by PT DAWN DIGITAL LABS.

  2. Superadmin is the representative of PT DAWN DIGITAL LABS who holds absolute administrative rights over the service infrastructure.

  3. Owner (Business Owner) is the individual or business entity holding the Service license who has the highest authority in managing their business within Mayapos.

  4. Tenant (Manager) is the party mandated by the Owner to manage inventory, cashier operations, and specific branch entities.

  5. Cashier is an operational staff member authorized solely by the Owner or Tenant to process and record daily transactions.


USE OF THE MAYAPOS PLATFORM

  1. Account Creation and Activation: Users acting as Owners are required to provide accurate, complete, and up-to-date registration information. Failure to provide valid data entitles the Company to suspend or terminate access to the Service.

  1. Account Access and Hierarchy of Responsibility: The Service operates using a Role-Based Access Control (RBAC) system. The Owner bears full legal responsibility for all activities, the accuracy of data input, and any violations committed by subordinate accounts under their control, including Tenant and Cashier accounts.

  1. Account Security and Confidentiality: The User is fully responsible for maintaining the confidentiality of access credentials (ID, password, PIN). Any transactions or activities occurring through the User’s account will be deemed valid actions by that User. The Company is not liable for losses arising from the User’s negligence in maintaining the security of their device or credentials.

  1. Acceptable Use Policy: Users are strictly prohibited from using the Mayapos infrastructure to record, manage, or facilitate transactions involving goods or services that:

  • Is illegal under the laws of the Republic of Indonesia.

  • Infringes on the intellectual property rights of third parties.

  • Involves fraud, money laundering, or terrorist financing.

  • Damages, overloads, or reverse engineers Mayapos’ servers and security systems.


PERSONAL INFORMATION

  1. The collection, processing, and storage of data are subject to the Mayapos Privacy Policy, which is an integral part of this Agreement.

  2. Data Processing Acknowledgment: By using the Service, the User understands and gives explicit consent that Mayapos collects operational, device, and third-party data to support the operation of the Service. Mayapos acts as the Data Controller for Owner information, and solely as a Data Processor for end-user information entered by the User.


PAYMENTS, SUBSCRIPTIONS, AND REFUNDS

  1. Mayapos is a paid Software-as-a-Service (SaaS) platform (monthly/annual). Access to premium features depends on the timely payment of invoices.

  2. All processed payments are final. There are no prorated refunds for terminating the Service during the current billing cycle.


USER LICENSE

As long as the User complies with this Agreement, PT DAWN DIGITAL LABS grants a personal, limited, revocable, non-exclusive, and non-transferable license to use the Mayapos App on devices supported by and owned by the User. Use on Apple ecosystem devices must comply with the Usage Rules set forth in the Apple Media Services Terms and Conditions.


INTELLECTUAL PROPERTY RIGHTS

All ownership rights, copyrights, trademarks, designs, user interfaces (UI/UX), and source code of Mayapos are the exclusive property of PT DAWN DIGITAL LABS. No provision of this Agreement may be construed as a transfer of Intellectual Property Rights to the User.


MAINTENANCE AND SUPPORT

The company is committed to resolving service issues (SLA) within 24 hours for operational technical issues. However, in accordance with the platform’s terms, you acknowledge that Apple and Google have no obligation to provide ongoing maintenance or support services related to the Mayapos App. All technical complaints must be directed directly to PT DAWN DIGITAL LABS.


DISCLAIMER OF WARRANTY

THE MAYAPOS SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. To the extent permitted by law, PT DAWN DIGITAL LABS expressly disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will always operate without interruption, with perfect accuracy, or be free of bugs.


LIMITATION OF LIABILITY

To the extent permitted by applicable law, PT DAWN DIGITAL LABS shall not be liable for any compensation, damages, or direct, indirect, incidental, or consequential losses (including loss of sales revenue, business interruption, or loss of transaction data) arising from server failure, network disruption, or the User’s inability to access the Mayapos Service.


THIRD-PARTY CLAIMS

To the extent permitted by applicable law, PT DAWN DIGITAL LABS shall not be liable for any compensation, damages, or direct, indirect, incidental, or consequential losses (including loss of sales revenue, business interruption, or loss of transaction data) arising from server failure, network disruption, or the User’s inability to access the Mayapos Service.


KEADAAN KAHAR (FORCE MAJEURE)

The Company shall be exempt from any liability or delay in performance under this Agreement if such liability or delay is caused by events beyond our reasonable control, including but not limited to natural disasters, war, pandemics, government regulations, failures of national internet infrastructure, or large-scale cyberattacks that cripple server vendors (cloud providers).


TERMINATION OF SERVICES

We reserve the right to suspend or terminate your account and all access to the Service unilaterally and immediately if you are found to have violated the Terms of Use, failed to make a payment, or taken actions that threaten the integrity of the Mayapos system.


GOVERNING LAW AND DISPUTE RESOLUTION

  1. This Agreement shall be governed by and construed solely in accordance with the laws of the Republic of Indonesia.

  2. Any and all disputes arising from the use of the Service shall be subject to the exclusive jurisdiction of the Tenggarong District Court; if both parties do not agree to resolve the dispute in the Tenggarong District Court, the dispute shall be resolved through the Indonesian National Arbitration Board (BANI), in accordance with the procedures applicable at BANI. This does not limit our right to file reports, lawsuits, or claims—whether civil or criminal—through the District Court, the Police, or other relevant authorities within the territory of the Republic of Indonesia.

  3. During the dispute resolution process as described in this section, we and you must continue to fulfill our obligations under these Terms and Conditions, unless otherwise determined by the Court.

  4. These Terms and Conditions are governed by, interpreted, and enforced in accordance with the laws of the Republic of Indonesia, and you expressly agree that the provisions of Article 1266 of the Civil Code and other provisions requiring court approval or consent to terminate these Terms and Conditions do not apply to these Terms and Conditions.
